Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and [Company Legal Name] ("Grainstash", "we", "us", or "our"), which operates the Grainstash platform at grainstash.com and its related services (collectively, the "Service"). By creating an account, browsing, uploading, buying, or selling on the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who can use Grainstash

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.

2. Your account

You are responsible for your account, for keeping your login credentials secure, and for all activity that happens under your account. We authenticate accounts via third-party sign-in (such as Google). Notify us promptly at support@grainstash.com if you believe your account has been compromised. You may close your account at any time.

3. The Service

Grainstash is a hybrid marketplace for producers. Creators can host, organize, and sell sample packs; buyers can preview and purchase them. Every feature is free to use; an optional paid subscription lowers the marketplace fee and increases storage. We also provide a free, browser-based step sequencer at /studio and AI-assisted tools that help organize and describe audio (for example, auto-tagging, BPM and key detection, and similarity search). AI outputs are provided "as is" and may be inaccurate; you remain responsible for reviewing them.

4. Acceptable use

Our Prohibited Content Policy is part of these Terms and applies to all content and activity on the Service, including private and unpublished uploads. You agree that you will not:

  • upload, store, share, publish, promote, or sell any content prohibited by that policy, including adult, obscene, sexually explicit, terrorist, or extremist audio;
  • upload, sell, or distribute content you do not have the rights to;
  • infringe anyone's intellectual property, privacy, or other rights;
  • upload malware, or attempt to disrupt, overload, or gain unauthorized access to the Service;
  • scrape, resell, or redistribute platform data or other users' content except as permitted;
  • misrepresent the nature, origin, or licensing of any content you list;
  • use the Service for fraud, money laundering, or any unlawful purpose; or
  • circumvent fees, payment processing, or any access or usage limits.

We may investigate suspected violations and may refuse or remove content, disable previews or sales, suspend features, withhold payouts where legally permitted, report illegal activity, or terminate accounts that breach these Terms or the Prohibited Content Policy.

5. Content you upload

You retain ownership of the audio, artwork, text, and other materials you upload ("Your Content"). By uploading Your Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transcode, generate previews and waveforms of, analyze, and display Your Content solely to operate, secure, and promote the Service and to deliver it to buyers you authorize. This license ends when you delete Your Content or close your account, except for residual copies kept for a reasonable period in backups or as required by law, and except for licenses already granted to buyers.

You represent and warrant that you own or have all rights, licenses, and clearances necessary to upload and sell Your Content, including any samples, recordings, vocals, and third-party material it contains.

6. Buying and selling

For buyers

When you purchase a pack or bundle, you receive a license to the included files on the terms set by the seller and described on the sample licensing page. Digital goods are delivered electronically; see our Refund Policy for when refunds are available.

For sellers

As a seller, you agree that:

  • you set your prices, and you are responsible for the accuracy of your listings;
  • you grant buyers the license described in your listing and on the licensing page, and you will not revoke a license that has already been granted for a completed purchase;
  • you must complete onboarding with our payments provider (Stripe Connect) to receive payouts, and you are responsible for any taxes on your earnings; and
  • you are solely responsible for the legality and rights status of everything you list.

7. Fees, payments, and payouts

Payments are processed by Stripe, including Stripe Connect for marketplace transactions and payouts. We currently use destination charges, under which Grainstash acts as merchant of record for buyer transactions. Grainstash charges a marketplace fee on each sale: a percentage plus a small fixed amount per transaction. The default fee is 15% + €0.35 on the Free plan and 5% + €0.35 on paid plans, configurable and subject to change as described in our pricing materials. The fixed component is never more than the sale price and does not apply to free items. For bundles, the fixed component is charged once per transaction. Prices and fees are stated in euros (EUR) unless otherwise noted.

Seller earnings, net of fees, are paid out to your connected Stripe account on Stripe's payout schedule, subject to any holds for risk, disputes, or compliance. By selling on the Service you also agree to Stripe's applicable terms. We may change fees, plans, or payout terms on reasonable notice; changes are not retroactive to completed sales.

8. Subscriptions

Paid subscriptions are billed in advance on a recurring monthly basis through Stripe until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period, and access to subscription benefits continues until then. Except where required by law or stated otherwise, subscription fees are non-refundable. See our Refund Policy for details.

9. Intellectual property and copyright complaints

The Service itself, including its software, design, and trademarks, is owned by Grainstash or its licensors and is protected by law. Nothing in these Terms transfers those rights to you.

We respect intellectual property rights and respond to valid takedown notices. If you believe content on the Service infringes your copyright or other rights, send a notice to support@grainstash.com that includes: identification of the work, the location (URL) of the allegedly infringing content, your contact details, a statement that you have a good-faith belief the use is unauthorized, a statement under penalty of perjury that your notice is accurate and that you are the rights holder or authorized to act on their behalf, and your signature. We may remove the content, notify the uploader, and, where appropriate, accept counter-notices and terminate repeat infringers.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that AI-generated metadata is accurate. Grainstash is a marketplace and is not responsible for the quality, legality, or rights status of content listed by sellers. Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law.

11. Limitation of liability

To the maximum extent permitted by law, Grainstash and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) the total fees you paid to Grainstash in the three months before the event giving rise to the claim, or (b) €100. Some jurisdictions do not allow these limitations, so they may not fully apply to you, and nothing here limits liability that cannot be limited by law.

12. Indemnification

You agree to indemnify and hold Grainstash harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your breach of these Terms or of any third-party rights.

13. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (including content licenses already granted to buyers, fees owed, disclaimers, limitations of liability, and indemnification) survive termination.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect means you accept the revised Terms.

15. Governing law and disputes

These Terms are governed by the laws of [Jurisdiction], without regard to its conflict-of-laws rules. The courts located in [Jurisdiction] will have exclusive jurisdiction over any dispute, except where mandatory consumer-protection law gives you the right to bring proceedings in your place of residence.
